1. CONTRACTUAL INFORMATION

These CONTRACT CONDITIONS form the entire contract regulating the conditions of contracting the services offered through the Decor AI mobile application (hereinafter “APP”) which is available at https://decorai.life (hereinafter “Website”).

These services consist of providing USERS with AI-powered interior and exterior design visualization tools, allowing them to digitally redesign and remodel their living spaces through various AI transformations including complete room redesigns, object replacement, cleanup, wall painting, flooring changes, and style references (hereinafter the “SERVICES”).

Access to the Website or its use by the USER, as well as the contracting of services offered in the APP, necessarily implies, without reservation, knowledge and acceptance of these CONTRACT CONDITIONS; therefore, it is recommended that you read them carefully before formalizing the contracting of the services offered in the APP.

Acceptance of this document implies that the USER:

  • Has read, understands and comprehends the above
  • Is a person with sufficient capacity to contract (at least 13 years of age, with parental consent if under 18)
  • Assumes all the obligations set forth herein

These conditions shall be valid for an indefinite period of time and shall be applicable to all contracts made through the APP.

Apparent Group Limited reserves the right to unilaterally modify these conditions, without affecting the terms and conditions that were implemented prior to the modification. The USER is responsible for consulting them each time they contract the services.

2. PARTY OFFERING THE SERVICES

The ownership of the Website and the APP and the company responsible for the services offered therein is:

For all questions that the USER may have in relation to these CONTRACT CONDITIONS, they can contact Apparent Group Limited using the contact details provided above or, where appropriate, using the various contact methods available on the Website or APP.

3. PARTY REQUESTING SERVICES

The contracting of the SERVICES offered by Decor AI will only be carried out through the APP. Therefore, it can be carried out by any USER who has downloaded and used the APP that is available for download from:

  • Google Play Store (Android)
  • Apple App Store (iOS)

The APP can also be accessed through links available on the website https://decorai.life

Age Requirements: The USER declares to be at least 13 years of age. Users between 13 and 17 years of age must have parental or guardian consent to use the APP and contract services. Users 18 years and older must have the legal capacity to enter into contracts.

If you detect or become aware that a minor under 13 has contracted any of the services offered in the APP, please notify us at hello@apparentgroup.co as soon as possible so that we can take appropriate measures.

The USER will be able to formalize the contracting of the desired services in any of the languages available in the APP. In case of disagreement between the text of these conditions and any translation, the English version will prevail.

4. OBJECT OF THE CONTRACT

The purpose of this contract is to regulate the contractual relationship between Apparent Group Limited and the USER regarding the contracting of SERVICES, from the moment the USER accepts during the online contracting process by checking the corresponding acceptance box.

The contractual relationship entails the delivery and/or access, in exchange for a determined price publicly displayed through the APP and app stores, to the following SERVICES:

Core AI-Powered Features:

AI Interior Design:

  • Complete room redesign based on selected style, room type, and color palette
  • Multiple design style options (Modern, Classic, Vintage, Minimalist, Custom)
  • Color palette selection and customization

Replace Objects:

  • AI-powered furniture and object replacement
  • Selection via drawing/masking interface
  • Text prompt or reference photo input for new objects

Cleanup:

  • Remove unwanted objects from room photos
  • Seamless AI-powered decluttering
  • Restore background automatically

Paint Wall:

  • Digital wall color transformation
  • Custom color selection via color wheel
  • Text prompt-based style changes

New Flooring:

  • Digital flooring replacement
  • Various material options (wood, tile, carpet, etc.)
  • Text-based flooring style descriptions

Reference Style:

  • Transform spaces using inspiration photos
  • Style transfer between images
  • Optional text prompt guidance

Explore Inspirations:

  • Curated gallery of interior design ideas
  • Categorized by room type (Living Room, Bedroom, Kitchen, Bathroom, etc.)
  • Exterior design inspirations (Home, Yard, Swimming Pool)

Additional Features:

  • Design history with saved projects
  • Share functionality for generated designs
  • Regenerate options for alternative results
  • High-resolution image outputs (Pro feature)
  • Watermark removal (Pro feature)

5. WHO IS A USER AND/OR CONSUMER?

The contracting of the SERVICES can be carried out by any natural person aged 13 or older (with parental consent if under 18) after downloading the APP through Google Play Store (Android) or Apple App Store (iOS).

These conditions shall apply to the USER, as well as the conditions that each of the application stores have and all those related to the regulations for the defense and protection of consumers and USERS in the USER’s jurisdiction.

6. CONTRACTING PROCEDURE – HOW TO CONTRACT?

Step 1: Download the APP

The USER must first download the Decor AI APP from:

  • Google Play Store: For Android devices
  • Apple App Store: For iOS devices

The download can be accessed directly through the app stores’ search functions or via links provided on https://decorai.life

Step 2: Initial Setup

When starting the APP for the first time, the USER will go through an onboarding experience that introduces the APP’s features and capabilities. The USER may optionally provide:

  • Account name
  • Email address (required for Pro subscriptions)
  • Location preferences
  • Design preferences

All information can be modified at any time through the Profile and Settings sections of the APP.

Step 3: Free vs. Premium Access

Upon download, the USER has access to a free version with limited features, including:

  • Limited number of design generations
  • Standard processing speed
  • Watermarked results
  • Basic feature access

Step 4: Subscribe to Pro Version

To enjoy unlimited access to all features, the USER may subscribe to the Pro version through available payment plans:

Subscription Options:

  • 3-Day Free Trial (for first-time subscribers)
  • Weekly Subscription
  • Annual Subscription

Payment is processed through the respective app store (Google Play Store or Apple App Store) using the payment methods they offer (credit/debit card, PayPal, Google Pay, Apple Pay, etc.).

The USER must familiarize themselves with the terms and conditions of:

7. PRICE AND PERIOD OF VALIDITY OF THE OFFER

7.1 Pricing Information

Apparent Group Limited will inform the USER, prior to contracting the service, of the price of available SERVICES through the APP and app stores, including any applicable taxes (VAT, sales tax, etc.) based on the USER’s location.

Price Details:

  • Prices are displayed in the USER’s local currency (USD, EUR, GBP, etc.)
  • Prices are final and include applicable taxes unless otherwise stated
  • Prices do not include data/internet connection costs required to use the APP
  • Free trial is offered for 3 days for first-time Pro subscribers

The USER acknowledges that pricing may vary based on:

  • Subscription plan selected (weekly vs. annual)
  • Promotional offers or discounts
  • App store regional pricing
  • Currency exchange rates
  • Applicable local taxes

Before completing a purchase, the USER will be able to review all details including:

  • Service tier selected
  • Subscription period
  • Price breakdown
  • Applicable taxes
  • Total amount
  • Billing frequency

7.2 Choice of Service Plan

Users who opt for paid Pro services may choose from the following subscription plans:

Weekly Subscription:

  • Billed weekly
  • Automatically renews every week
  • Cancel anytime

Annual Subscription:

  • Billed annually (typically offered at discounted rate vs. weekly)
  • Automatically renews every year
  • Cancel anytime
  • Best value option

Free Trial:

  • 3-day trial period for first-time Pro subscribers
  • Full Pro access during trial
  • No charge during trial period
  • Automatically converts to paid subscription after 3 days unless canceled

7.3 Payment Methods and Security

Payment is processed exclusively through the app stores (Google Play Store or Apple App Store) using their secure payment systems. Apparent Group Limited does not directly collect, process, or store payment card information.

Available payment methods depend on the app store and USER’s location, and may include:

  • Credit/debit cards
  • PayPal
  • Google Pay
  • Apple Pay
  • Carrier billing
  • Gift cards/store credit
  • Other regional payment methods

7.4 Applicable Taxes

All prices displayed are final prices. However, they may include or exclude applicable taxes depending on jurisdiction:

  • For EU users: Prices typically include VAT
  • For US users: Prices may or may not include sales tax depending on state
  • For other regions: Taxes applied according to local regulations

The USER’s location (billing address registered with app store) determines which taxes apply. The tax amount will be clearly displayed before purchase confirmation.

Apparent Group Limited will inform the USER of the exact tax amount through the app store platform prior to completing the transaction, and this will be reflected in the purchase summary.

7.5 Price Changes

The USER is informed that Apparent Group Limited reserves the right to modify subscription prices at any time.

Price Increase Notification:

  • When a subscription price increases, users will receive advance notice
  • For existing subscribers, the new price applies to the next billing cycle after at least 30 days’ notice
  • If less than 30 days’ notice is provided, the price increase applies to the billing cycle after the next one
  • Users will be notified via email and/or in-app notification

User Options Upon Price Increase:

  • Continue subscription at new price (no action required)
  • Cancel subscription before next billing cycle to avoid new price
  • No refunds for partial billing periods

If the USER cancels due to a price increase, no further charges will apply after the current billing period ends. If the USER later decides to re-subscribe, the current pricing at that time will apply.

7.6 Invoicing and Purchase History

Purchase Confirmation: Once payment is successfully processed by the app store, a receipt/invoice will be issued containing:

  • Service contracted (Pro subscription)
  • Subscription period
  • Price paid
  • Applicable taxes
  • Transaction date
  • App store transaction ID

Receipt Delivery: Receipts are typically sent by the app store (Apple or Google) to the email address associated with the USER’s app store account.

Accessing Purchase History: Users can access their complete purchase history and subscription details through their app store account:

  • View purchase history and manage subscriptions

Record Keeping: Communications, purchase orders, and payment transactions may be archived in Apparent Group Limited’s computerized records to serve as proof of transactions, while respecting security standards and applicable laws regarding consumer protection and personal data protection.

8. DURATION OF SERVICE

8.1 Subscription Periods

The duration of service corresponds to the subscription plan selected by the USER:

Weekly Subscription:

  • Billed every 7 days
  • Continuous access until canceled
  • Automatic renewal

Annual Subscription:

  • Billed every 12 months
  • Continuous access until canceled
  • Automatic renewal

Free Trial (3-Day):

  • One-time offer for new Pro subscribers
  • Full Pro access for 3 days
  • Automatically converts to paid subscription unless canceled before trial ends

8.2 Subscription Renewal

By subscribing, the USER obtains continuous access to Pro features unless the subscription is canceled.

Automatic Renewal:

  • Subscriptions automatically renew at the end of each billing period
  • Charges occur no more than 24 hours before the start of each new billing period
  • The subscription fee is charged to the USER’s app store account

To avoid automatic renewal charges:

  • Cancel the subscription before the current billing period ends
  • Cancellation takes effect at the end of the current paid period
  • No refunds for unused time in current billing period

8.3 Free Trial Period

New Subscribers: When subscribing to Pro content for the first time, users receive a 3-day free trial to experience Pro benefits at no charge.

Trial Terms:

  • Full access to all Pro features during trial
  • No charge during the 3-day trial period
  • After 3 days, the paid subscription begins automatically
  • First payment charged at the end of trial period

Canceling During Trial:

  • To avoid charges, cancel before the 3-day trial ends
  • Upon cancellation, Pro access ends immediately
  • Users revert to free tier with limited features
  • Trial can only be used once per user

8.4 Cancellations

How to Cancel: Subscriptions can be canceled at any time through the app store subscription management:

For iOS (Apple):

  1. Open Settings on your device
  2. Tap your name at top
  3. Tap Subscriptions
  4. Select Decor AI subscription
  5. Tap Cancel Subscription

For Android (Google Play):

  1. Open Google Play Store app
  2. Tap Menu > Subscriptions
  3. Select Decor AI subscription
  4. Tap Cancel Subscription

Cancellation Effective Date:

  • Cancellation takes effect at the end of the current billing period
  • Users retain Pro access until the paid period expires
  • Example: Cancel on day 3 of a weekly subscription → access continues through day 7

No Partial Refunds:

  • Cancellation does not entitle USER to refund for remaining time in current period
  • Users can continue using Pro features until current subscription period ends

9. RIGHT OF WITHDRAWAL

Current legislation in many jurisdictions grants consumers an automatic right of withdrawal from contracts for digital content purchases.

However, for Decor AI:

The SERVICES provided by Apparent Group Limited begin their full execution immediately upon subscription payment through the app store. The USER immediately gains access to Pro features and can begin using unlimited AI generations and premium functionality.

Due to the immediate delivery and execution of digital services:

  • The statutory right of withdrawal does not apply once Pro access begins
  • This is consistent with digital content regulations in most jurisdictions
  • By subscribing, the USER explicitly agrees to immediate service delivery
  • The USER acknowledges and accepts this waiver of withdrawal rights

Exception – Free Trial:

  • The 3-day free trial allows users to test Pro features before payment
  • This serves as an alternative to the withdrawal right
  • Users can cancel during the trial without any charges

Refunds:

  • No refunds are provided once a subscription order is placed and paid
  • Exception: Refunds may be available as required by applicable law or app store policies
  • App store refund policies (Apple and Google) take precedence where applicable
  • Contact the respective app store for refund requests in exceptional circumstances

The USER accepts the foregoing regarding the right of withdrawal by proceeding with subscription purchase.

10. FORCE MAJEURE

Neither party shall be liable for any failure to perform obligations due to force majeure events, including but not limited to:

  • Natural disasters (earthquakes, floods, storms)
  • Wars, terrorism, civil unrest
  • Government actions, regulations, or restrictions
  • Epidemics or pandemics
  • Internet or telecommunications failures beyond our control
  • Power outages or electrical grid failures
  • Cyberattacks, hacking attempts, or security breaches
  • Failures of third-party services (app stores, cloud providers, AI services)
  • Any other circumstances beyond reasonable control

Effect of Force Majeure:

  • Obligations are suspended during the force majeure event
  • Performance resumes when circumstances permit
  • No liability for delays or failures during force majeure
  • Subscription periods may be extended to compensate for extended outages (at our discretion)

Notification: Apparent Group Limited will make reasonable efforts to notify users of force majeure events affecting service availability.

11. GENERAL INFORMATION ABOUT THE OFFER

11.1 Binding Agreement

All service subscriptions made through Decor AI are subject to these CONTRACT CONDITIONS and the Terms and Conditions of Use and Privacy Policy.

No modification, alteration, or covenant contrary to Apparent Group Limited’s offer or the provisions hereof shall be effective unless expressly agreed to in writing by Apparent Group Limited, in which case these particular covenants shall prevail.

11.2 Service Specifications

Apparent Group Limited reserves the right to change service specifications, features, and offerings with regard to the information provided in its advertising and marketing materials, insofar as this does not materially affect the value of the SERVICES offered.

Reasons for changes may include:

  • Continuous technical developments and improvements
  • AI model updates and enhancements
  • New feature additions
  • Platform requirements from app stores
  • Legal or regulatory compliance

Such changes shall also apply in the event that, for any reason, the possibility of supplying certain features should be affected.

User Notification: Material changes to core features will be communicated to users via:

  • In-app notifications
  • Email updates
  • Website announcements

11.3 Service Limitations

Users acknowledge that AI-generated results:

  • Are automated and may not always meet expectations
  • Depend on quality of input photos
  • Are suggestions, not professional design advice
  • May vary in accuracy and quality
  • Require user judgment for real-world implementation

12. GUARANTEE OF SERVICES

12.1 Service Quality Commitment

All SERVICES offered in the APP by Apparent Group Limited are provided with reasonable care and quality standards.

The SERVICES shall be deemed to conform to these CONTRACT CONDITIONS provided that they:

  1. Conform to Description:

     

    • Match the features and capabilities described in the APP and marketing materials
    • Possess the qualities presented to users
  2. Fitness for Purpose:

     

    • Are suitable for the normal purpose of AI-powered interior design visualization
    • Can generate design transformations as described
  3. Performance Standards:

     

    • Function with reasonable reliability (subject to force majeure)
    • Process images within reasonable timeframes
    • Produce output images of reasonable quality given input constraints
  4. Special Requirements:

     

    • Meet any special use requirements communicated to and acknowledged by Apparent Group Limited

12.2 Service Issues

In the event that the SERVICE demonstrably does not comply with established specifications due to defects attributable to Apparent Group Limited, we will:

Available Remedies:

  1. Technical Support: Provide assistance to resolve technical issues
  2. Service Credits: Offer subscription extensions in case of extended outages
  3. Refunds: Process refunds where required by law or app store policies (rare, as services are digital and immediately consumed)

Limitations:

  • Remedies do not apply to issues caused by user error, device problems, or internet connectivity
  • AI results that don’t meet subjective preferences are not considered defects
  • Quality of output depends significantly on input photo quality

12.3 How to Report Issues

Users experiencing service issues should:

  1. Contact support via email: hello@apparentgroup.co
  2. Describe the issue in detail with screenshots if possible
  3. Provide device information (model, OS version)
  4. Include subscription status (Free vs. Pro)

Response time: We aim to respond within 48-72 hours.

13. USER RESPONSIBILITIES

USERS must comply with the following obligations:

13.1 Lawful Use

  • Use the APP only for lawful purposes and in accordance with these CONDITIONS
  • Comply with all applicable laws and regulations in their jurisdiction
  • Not use the APP to create designs for illegal purposes
  • Respect intellectual property rights of others

13.2 Account Information

  • Provide accurate, truthful, and complete information when creating an account
  • Update information when necessary to maintain accuracy
  • Maintain confidentiality of app store account credentials
  • Not share account access with unauthorized third parties

13.3 Age Requirements

  • Must be at least 13 years of age
  • Users under 18 must have parental/guardian consent
  • Must have legal capacity to enter into contracts (18+ for independent contracting)

13.4 Content Uploaded

  • Only upload photos that they own or have permission to use
  • Not upload photos containing inappropriate, illegal, or harmful content
  • Not upload photos of other people without their consent
  • Not upload copyrighted images without authorization
  • Not upload images of minors in private settings

13.5 Prohibited Activities

Users must NOT:

  • Attempt to reverse engineer, decompile, or hack the APP
  • Use automated systems (bots, scripts) to access the APP
  • Abuse the free trial by creating multiple accounts
  • Share Pro subscription access with others
  • Attempt to circumvent payment systems
  • Upload malware or malicious code
  • Impersonate others or misrepresent affiliation
  • Violate any third-party rights (privacy, copyright, etc.)
  • Use the APP in any way that could damage, disable, or impair service for others

13.6 Subscription Management

  • Manage subscriptions through app store settings
  • Cancel subscriptions before renewal to avoid charges
  • Immediately notify app store if unauthorized access occurs
  • Understand that only the subscribing USER may use Pro features

13.7 Third-Party Data

  • If sharing APP access or results with third parties, ensure compliance with privacy laws
  • Inform third parties about APP policies when sharing content
  • Assume responsibility as Data Controller when handling others’ data

Consequences of Non-Compliance: Failure to comply with any of these responsibilities may result in:

  • Immediate suspension or termination of service
  • Cancellation of subscription without refund
  • Legal action if violations cause harm or damages
  • Reporting to authorities for illegal activities

The USER is not entitled to compensation for service termination due to their violation of these responsibilities.

14. RESPONSIBILITIES OF THE PROVIDER – APPARENT GROUP LIMITED

Apparent Group Limited commits to:

14.1 Service Delivery

  • Provide SERVICES according to the characteristics offered through the APP
  • Deliver features and functionality as described in CONTRACT CONDITIONS
  • Maintain reasonable service availability and uptime
  • Process AI generations within reasonable timeframes

14.2 Security and Privacy

  • Adopt appropriate security measures to protect user data
  • Maintain confidentiality of user information
  • Comply with applicable data protection regulations (GDPR, CCPA, etc.)
  • Implement technical and organizational safeguards
  • Act as Data Controller in accordance with Privacy Policy

14.3 Issue Resolution

  • Make reasonable efforts to resolve technical problems
  • Collaborate with users to troubleshoot issues
  • Respond to support inquiries in a timely manner
  • Provide assistance for problems attributable to our systems

14.4 Transparency

  • Clearly communicate pricing, features, and limitations
  • Notify users of material changes to services or policies
  • Provide accessible support channels
  • Maintain accurate documentation and help resources

14.5 Compliance

  • Comply with app store policies and guidelines
  • Adhere to applicable laws and regulations
  • Honor refund obligations as required by law or platform policies
  • Process user rights requests (access, deletion, etc.)

14.6 Continuous Improvement

  • Work to enhance AI models and service quality
  • Address bugs and technical issues
  • Consider user feedback for improvements
  • Update features to maintain competitiveness

15. LIMITS TO THE LIABILITY OF APPARENT GROUP LIMITED

By way of example and without limitation, Apparent Group Limited shall NOT be liable in the following cases:

15.1 User-Related Issues

  • Damages resulting from misuse or improper use of the APP
  • User violations of these CONTRACT CONDITIONS
  • User device problems, software conflicts, or hardware failures
  • Poor internet connectivity affecting service access
  • User’s failure to maintain device security
  • Low-quality input photos resulting in poor AI output
  • User’s dissatisfaction with AI-generated results (subjective preferences)

15.2 Third-Party Issues

  • Actions or omissions of third parties not connected to Apparent Group Limited
  • App store policies, outages, or payment processing issues
  • Third-party service failures (cloud providers, AI services)
  • Internet service provider failures
  • Device manufacturer defects or limitations

15.3 Technical and Operational

  • Temporary service interruptions for maintenance or updates
  • Force majeure events beyond our reasonable control
  • Errors or anomalies caused by internet network problems
  • Security incidents caused by external attacks
  • AI model limitations or inaccuracies inherent to machine learning technology
  • Processing delays during peak usage periods

15.4 Content and Results

  • Quality, accuracy, or suitability of AI-generated designs
  • Decisions made based on AI-generated results
  • Costs incurred implementing designs generated by the APP
  • Professional design services or architectural advice (we provide visualization tools, not professional consultation)
  • Copyright or intellectual property issues with user-uploaded content
  • Similarity between designs generated for different users with similar inputs

15.5 Data and Communications

  • Email delivery failures due to incorrect addresses provided by USER
  • Spam filter issues preventing receipt of communications
  • Data loss due to user’s failure to backup designs
  • Incomplete transmissions due to network failures

15.6 Financial

  • Currency exchange rate fluctuations affecting pricing
  • Bank or payment processing fees charged by third parties
  • Refund delays caused by app store processing times

15.7 Legal Maximum Liability

To the fullest extent permitted by law, Apparent Group Limited’s total aggregate liability for any claims related to the SERVICES shall not exceed the amount paid by the USER for their subscription in the 12 months preceding the claim.

Exclusion of Consequential Damages: In no event shall Apparent Group Limited be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, or business
  • Loss of data or use
  • Costs of procurement of substitute services
  • Punitive or exemplary damages

15.8 Service Suspension or Termination

Apparent Group Limited may, without prior notice and without liability, suspend or terminate USER’s access to SERVICES, in whole or in part, for valid reasons including:

  • Violation of these CONTRACT CONDITIONS
  • Violation of Terms and Conditions or Privacy Policy
  • Fraudulent activity or payment disputes
  • Abuse of service or excessive usage affecting other users
  • Violation of applicable laws or regulations
  • Security threats or risks
  • Harassment of staff or other users
  • Any other valid reason at our discretion

15.9 Data Processing Liability

Apparent Group Limited is not responsible for:

  • Data processing by third parties not authorized by us
  • User’s violations of data protection laws when sharing APP content
  • User’s role as Data Controller when handling third-party data

However, as Data Processor, Apparent Group Limited complies with all obligations under applicable data protection regulations.

15.10 Cooperation with Authorities

While not responsible for damages caused by third parties, Apparent Group Limited will collaborate with and notify competent authorities if we have reliable knowledge that damage constitutes illegal activity.

16. CONTRACT, COMMUNICATIONS AND NOTIFICATIONS

16.1 Entire Agreement

These Contract Conditions, together with the Terms and Conditions of Use and Privacy Policy, and any document expressly referenced herein, constitute the entire agreement between the USER and Apparent Group Limited regarding the subject matter and supersede any prior covenants, agreements, or promises between the parties.

16.2 Assignment

The USER may not assign, transfer, or sub-license their rights, responsibilities, or obligations under this contract without prior written consent from Apparent Group Limited.

Apparent Group Limited may assign its rights and obligations to any affiliate, subsidiary, or successor entity, particularly in the event of merger, acquisition, or sale of business assets.

16.3 Severability

If any provision of these CONTRACT CONDITIONS is deemed invalid, illegal, or unenforceable by a court of competent jurisdiction:

  • The validity, legality, and enforceability of remaining provisions shall not be affected
  • The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable
  • If modification is not possible, the provision shall be severed from the contract

16.4 No Waiver

Failure or delay by Apparent Group Limited to exercise any right or remedy under these CONDITIONS shall not constitute a waiver of that right or remedy, nor shall it preclude future exercise of that right or any other right or remedy.

16.5 Electronic Communications

The USER acknowledges and accepts that:

  1. All communications with Apparent Group Limited will be conducted electronically, including:

     

    • Email correspondence
    • In-app notifications and messages
    • Website announcements
    • App store communications
  2. Consent to Electronic Contracting:

     

    • The USER consents to entering into contracts electronically
    • Electronic signatures and acceptances are legally binding
    • Digital records constitute valid proof of agreement
  3. Legal Compliance:

     

    • All electronic contracts, notifications, and communications sent by Apparent Group Limited comply with legal requirements for writing
    • This condition does not affect the USER’s statutory consumer rights
  4. Delivery of Notices:

     

    • Notices sent to the email address provided by USER are deemed delivered 24 hours after sending
    • In-app notifications are deemed delivered upon display
    • USER is responsible for maintaining accurate contact information

16.6 Language

These CONTRACT CONDITIONS are provided in English. Translations to other languages may be provided for convenience only. In case of any discrepancy or conflict between the English version and any translation, the English version shall prevail.

16.7 USER Acknowledgment

By accepting these CONTRACT CONDITIONS and using the APP, the USER declares that they have:

  • Read and understood all provisions in their entirety
  • Had reasonable opportunity to review the contract
  • Accepted all terms voluntarily and without coercion
  • Not relied on any representations or promises except those expressly stated herein

16.8 Changes to Contract Conditions

Modification Rights: Apparent Group Limited reserves the right to modify these CONTRACT CONDITIONS at any time.

Notification of Changes: When modifications are made:

  • Updated CONTRACT CONDITIONS will be published in the APP
  • USER will be notified via email and/or in-app notification
  • The “Last Updated” date at the top will be changed
  • For material changes, explicit acceptance may be required

Continued Use: Continued use of the APP after changes take effect constitutes acceptance of the modified CONTRACT CONDITIONS. If USER does not agree with modifications, they must:

  • Cancel their subscription before the next billing cycle
  • Cease using the APP

17. APPLICABLE LAW AND JURISDICTION

17.1 Governing Law

These CONTRACT CONDITIONS and any contractual relationship arising from them shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles.

17.2 Jurisdiction for Disputes

The applicable jurisdiction for resolving disputes depends on the USER’s status:

For Business/Professional Users and Entities:

  • Both parties irrevocably submit to the exclusive jurisdiction of the courts of Hong Kong
  • All disputes, controversies, or claims shall be resolved in Hong Kong courts
  • This applies to users acting in a commercial or professional capacity

For Individual Consumer Users:

  • Disputes shall be resolved in accordance with the applicable law and jurisdiction of the USER’s country of residence
  • Consumer protection laws of the USER’s jurisdiction apply
  • Users may bring claims in their local courts as permitted by consumer protection regulations

17.3 European Union Users

For USERS resident in the European Union:

In accordance with Article 14.1 of Regulation (EU) 524/2013, the European Commission provides an Online Dispute Resolution (ODR) Platform for consumer disputes related to online contracts.

EU users can access the ODR platform at:

This platform facilitates out-of-court resolution of disputes between consumers and traders in the EU regarding online purchases of goods and services.

Additional EU Consumer Rights:

  • EU consumer protection directives apply
  • Users may benefit from mandatory consumer protection provisions of their country of residence
  • Nothing in these CONDITIONS restricts statutory consumer rights under EU law

17.4 Arbitration (Where Applicable)

Depending on the USER’s jurisdiction, certain disputes may be subject to binding arbitration. Users should consult local laws to determine applicability.

For Arbitration:

  • Arbitration rules and procedures as specified by the USER’s jurisdiction apply
  • Small claims may be excluded from arbitration requirements
  • Users retain rights to pursue claims in small claims court where applicable

17.5 Class Action Waiver

To the extent permitted by applicable law:

  • USER agrees to resolve disputes on an individual basis
  • USER waives the right to participate in class actions or collective proceedings
  • This waiver does not apply where prohibited by law (e.g., some EU jurisdictions)

17.6 Limitation Period

Claims must be brought within the limitation period specified by applicable law. In Hong Kong, the general limitation period for breach of contract claims is 6 years from the date the cause of action arose.

18. ADDITIONAL PROVISIONS

18.1 Independence of Parties

Nothing in these CONTRACT CONDITIONS shall be construed as creating a partnership, joint venture, employment, or agency relationship between USER and Apparent Group Limited.

18.2 Force and Effect

These CONTRACT CONDITIONS come into force upon USER’s acceptance (by checking the acceptance box or proceeding with subscription) and remain in effect for the duration of the contractual relationship.
